("the Corporation") is an investment company, existing as a Reporting Issuer in the Provinces of Alberta and British Columbia, Canada, incorporated under the laws of the Canada Business Corporations Act (Alberta), and was organized through a Plan of Arrangement transaction between Blue Horizon Energy Inc, MLB Industries Inc, 1603546 Alberta Ltd, 1611985 Alberta Ltd, and the Corporation. • The Corporation seeks to develop itself as a leading company in the business of providing early stage risk capital, business experience and guidance, to small enterprises with attractive prospects and motivated, high quality management; thereby investing into private and publicly traded emerging growth companies on favorable terms. • The Corporation invests into target companies in a series of "milestone" financings, in order to mitigate its downside risk and encourage its investee companies to meet key objectives outlined in the intial "first financing". • The Corporation invests in companies along with strategic industry partners and where the investee company has an identifiable path to growth and liquidity. • Liquidy events for any target investee will be dealt with primarily for the benefit of the shareholders of the Corporation, through dividends or some other form of a return of capital to the shareholders of the Corporation. • The Corporation, its shareholders, and its management team benefits by investing in opportunities with the potential to provide superior risk-adjusted returns and by maximizing shareholder value, rather than a focus on assets under management.
